General Conditions of Sale (CGV) - Professionals

These general conditions of sale apply exclusively to trade relations between Shaina Distribution and his professional customers. Any order implies the full acceptance of these CGVs.

Article 1 - Purpose These CGVs define the conditions under which Shaina distribution markets its products to professionals via the site https://shaina-distribution.eu/gb/.

ARTICLE 2 - ORDERS Any order becomes final after payment validation. Shaina Distribution reserves the right to refuse or cancel an order in case of previous litigation or non-payment.

Article 3 - Price The prices are expressed in euros HT or TTC depending on display. Transportation costs are indicated before validation of the order. Shaina Distribution reserves the right to change its rates at any time.

Article 4 - Payment Payment is immediately due to the order. In the event of late payment, penalties will be applied at the legal rate in force, as well as a lump sum of € 40 for recovery costs in accordance with Article L441-10 of the French Commercial Code.

Article 5 - Retention of title The products remain the property of Shaina Distribution until full payment of the price. The transfer of risks occurs as soon as the carrier is given.

Article 6 - Delivery Delivery times are indicative. Shaina Distribution can not be held responsible for delays attributable to carriers. The customer must check the status of the packages upon receipt and formulate any reservation immediately.

Article 7 - Returns The professional client has a period of 7 days to return the new and unused products, at its expense, compared to exchange or valid for 6 months.

Article 8 - Responsibility Shaina Distribution's liability is strictly limited to the amount of the order.

Article 9 - force majeure Shaina Distribution can not be held responsible in case of unpredictable or independent event of its will (strike, fire, disaster, rupture supplier ...).

Article 10 - Partial nullity If a clause of these CGVs was declared null, the other provisions would remain applicable.

Article 11 - Applicable law and jurisdiction These CGV are subject to French law. Any dispute falls within the exclusive competence of the Bobigny Commercial Court.
